Terms and Conditions

These terms explain the rules for using the HBOX Labs website and how our website terms relate to proposals, statements of work, and other agreements for our AI services.

Clear responsibilitiesPractical AI safeguards

Last updated: September 7, 2026

These Terms and Conditions ("Terms") are an agreement between you and HBOX LLC, operating as HBOX Labs ("HBOX Labs," "we," "us," or "our"). They apply when you access or use our website, forms, public resources, and other online features that link to these Terms.

Paid services and client projects are normally governed by a separate proposal, statement of work, master services agreement, order form, or similar written agreement. If that agreement conflicts with these Terms, the signed agreement controls for the applicable services.

1. Acceptance of These Terms

By accessing or using the website, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the website. If you use the website for a company or other organization, "you" includes that organization where the context requires.

2. Eligibility and Authority

You must be legally capable of entering a binding agreement and at least the age of majority where you live. If you act for an organization, you represent that you have authority to accept these Terms on its behalf.

3. Website Use

HBOX Labs provides this website to explain our business, share practical information, receive inquiries, and connect with organizations interested in AI agents, workflow automation, AI products, data intelligence, strategy, training, and managed AI execution.

Website content is general information, not professional legal, financial, medical, employment, compliance, or other regulated advice. You remain responsible for obtaining qualified advice when a decision requires it.

4. Services and Project Agreements

A website inquiry, discovery call, demonstration, estimate, or proposal does not by itself require either party to begin a project. Scope, deliverables, responsibilities, timing, fees, payment terms, change requests, acceptance criteria, support, ownership, and other project-specific terms will be stated in the applicable written agreement.

Unless a written agreement expressly states otherwise, examples, case studies, forecasts, timelines, performance estimates, and demonstrations are illustrative and do not guarantee a specific commercial, operational, financial, or technical result.

5. Forms and Communications

Information you submit through a contact form, waitlist, consultation request, or similar feature must be accurate and must not violate another person’s rights. You authorize us to respond using the contact details you provide. Marketing communications, where offered, remain subject to any consent and opt-out choices described at the point of collection.

Do not send passwords, government identifiers, financial account details, health information, trade secrets, or other highly sensitive data through a general website form unless HBOX Labs specifically requests it through an appropriate channel.

6. Acceptable Use

You may use the website only for lawful purposes. You may not:

  • Use the website to violate law, regulation, contractual duties, privacy, publicity, intellectual property, or other rights.
  • Upload malicious code, disrupt security, probe for vulnerabilities without written permission, or interfere with the website’s operation.
  • Misrepresent your identity, impersonate another person or organization, or submit deceptive, fraudulent, or unlawful material.
  • Scrape, harvest, crawl, copy, or access the website through automated means except as permitted by law or with our written authorization.
  • Reverse engineer, bypass access restrictions, remove notices, or attempt to obtain non-public source code, systems, or data.
  • Use website materials to train or improve a machine-learning model without our prior written permission.

7. AI Systems and Outputs

AI-assisted systems can produce incomplete, inaccurate, outdated, biased, or unexpected results. Unless a signed project agreement expressly provides otherwise, demonstrations and outputs made available through the website are provided for evaluation and informational purposes only.

  • Review and validate AI-generated outputs before relying on, publishing, sending, or acting on them.
  • Maintain appropriate human oversight, approvals, access controls, testing, monitoring, and fallback procedures.
  • Do not rely on an AI output as the sole basis for a legal, medical, financial, employment, credit, insurance, housing, safety, or other high-impact decision.
  • Use AI systems only with data, instructions, and permissions you are authorized to provide.
  • Evaluate whether your intended use complies with the laws, policies, contracts, and industry requirements applicable to your organization.

8. Customer Materials

You retain ownership of information, instructions, files, prompts, data, branding, and other materials you provide ("Customer Materials"). You represent that you have the rights and permissions needed for us to receive and use those materials for the requested purpose.

You grant HBOX Labs a limited right to host, copy, process, transmit, adapt, and otherwise use Customer Materials only as reasonably necessary to respond to your request, operate the applicable feature, perform an agreed service, protect our systems, and comply with law. Project agreements may provide additional data-use and deletion terms.

9. Intellectual Property

The website and its original text, graphics, interfaces, branding, logos, software, code, arrangement, and other content are owned by HBOX Labs or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access the website for your internal business evaluation and other lawful personal use.

No website use transfers ownership of HBOX Labs technology, methods, templates, know-how, trademarks, or other intellectual property. Ownership and licensing of project deliverables are determined by the applicable signed agreement.

If you voluntarily provide feedback or suggestions, you allow us to use them without restriction or compensation, provided we do not identify you publicly without permission.

10. Confidential Information

General website interactions do not automatically create a confidential, fiduciary, professional, or exclusive relationship. Confidentiality obligations for a discovery process or project apply only when included in a separate written agreement or otherwise required by law. Please do not submit confidential information before appropriate protections are in place.

11. Third-Party Services

The website may link to or integrate services operated by other organizations. Their products, availability, content, terms, privacy practices, and security are controlled by those organizations. A link or integration does not mean HBOX Labs endorses every third-party statement, product, or practice.

Client solutions may also depend on third-party platforms, models, APIs, hosting, software, or data sources. Related costs, usage rights, service levels, and dependencies will be handled under the applicable project agreement and the provider’s terms.

12. Disclaimers

To the fullest extent permitted by applicable law, the website is provided "as is" and "as available." HBOX Labs disclaims warranties not expressly stated in these Terms or a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

We do not warrant that website content will always be complete, current, secure, available, or suitable for your particular use. Some jurisdictions do not allow certain warranty exclusions, so part of this section may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by applicable law, HBOX Labs and its members, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity, or use arising from the website or these Terms, even if advised that such harm may occur.

For claims arising solely from the free public website, the aggregate liability of HBOX Labs will not exceed one hundred U.S. dollars (US $100). Liability relating to paid services is governed by the applicable project agreement. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HBOX Labs and its members, employees, and contractors from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful website use, your violation of these Terms, or Customer Materials that infringe or violate another party’s rights. This obligation does not apply to the extent a claim results from HBOX Labs’ own unlawful conduct.

15. Suspension and Termination

We may restrict or suspend access to the website when reasonably necessary to protect users, systems, rights, or legal compliance, or when we believe these Terms have been materially violated. You may stop using the website at any time. Provisions that by their nature should survive termination—including intellectual property, disclaimers, liability limits, indemnification, and dispute terms—will continue to apply.

16. Changes to These Terms

We may update these Terms to reflect changes in the website, services, business practices, or applicable requirements. The revised Terms will be posted on this page with an updated date. Material changes apply prospectively unless law requires otherwise. Your continued use after revised Terms take effect means you accept them.

17. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. Subject to any mandatory rights under applicable law, disputes arising from the website or these Terms will be brought in the state or federal courts located in Massachusetts, and each party consents to their jurisdiction and venue.

Before filing a claim, you and HBOX Labs agree to make a reasonable good-faith effort to resolve the issue through direct written communication. This informal step does not prevent either party from seeking urgent injunctive or equitable relief where appropriate.

18. General Terms

These Terms and the Privacy Policy are the complete agreement concerning the public website unless another written agreement applies. If any provision is found unenforceable, it will be modified only as much as necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; HBOX Labs may assign them as part of a merger, reorganization, financing, sale of assets, or by operation of law. Headings are provided for convenience only.

19. Contact Us
